Why you should know this
“I bought on an exchange” can describe a matched order, an instant conversion supplied by the platform, or a broker routing elsewhere. The same button may hide a different counterparty and price process.
These differences matter when comparing spread, fees, custody and recourse. They also matter when something fails: the venue showing the order may not control the final bank or blockchain stage.
The category problem
Industry labels are not perfectly standardized. A company may call itself an exchange while also acting as broker, custodian, token issuer, lender and proprietary trader.
Classify the activity, legal entity and transaction—not only the brand. FATF defines covered virtual-asset services by functions such as exchange, transfer, safekeeping and financial services related to issuance. Local law then determines the applicable perimeter.
What a crypto exchange usually does

An order-book exchange provides a venue where participants submit bids and asks. A matching engine pairs compatible orders according to venue rules.
The exchange may:
- hold customer fiat or crypto;
- operate the matching engine;
- publish order-book and trade data;
- list assets and set trading rules;
- calculate fees;
- manage deposits and Withdrawals;
- perform KYC/AML and monitoring;
- offer market-making or other services through affiliates.
The exchange is not necessarily the economic counterparty to every trade. Another user or market maker may take the opposite side.
What a broker usually does

A broker acts for, arranges or executes for a customer under its model. It may quote an all-in price, source liquidity from one or more venues or act as principal.
The customer can receive a simpler experience: “Spend PHP 5,000 and receive this amount.” The tradeoff can be less visibility into underlying spread, venue and execution.
Ask whether the broker acts as agent, principal or both; whether the quote is locked; and how compensation is earned.
What an OTC desk usually does

An over-the-counter desk negotiates trades away from a public central order book. It can suit larger, customized or relationship-based transactions.
An OTC desk may offer:
- request-for-quote pricing;
- negotiated size and settlement;
- reduced visible market impact;
- credit or pre-funding arrangements;
- fiat and crypto coordination;
- post-trade support.
Large minimums, counterparty exposure, information leakage and settlement conditions matter. “Off exchange” does not mean outside law or risk controls.

These are typical characteristics, not legal definitions for every jurisdiction.
Instant buy can be a broker-like experience

An app may display one price and deliver an asset immediately. It can include spread, fee and inventory risk in the quote. That is different from placing a limit order on an order book.
Neither is automatically better. A beginner may value a clear final amount; an advanced trader may prefer execution control. Compare total cost and suitability.
Custody and execution are separate

A service can execute a trade without holding assets afterward, or hold assets without being the trading counterparty. A third-party custodian can also sit behind the brand.
Ask:
- who legally contracts with the customer;
- who holds fiat and crypto;
- whether customer assets are segregated under applicable rules;
- who controls private keys;
- where orders execute;
- who is the counterparty;
- how insolvency and complaints are handled.
Do not assume “custodial” means insured or “non-custodial” means recoverable.
Conflicts in multifunction intermediaries
A platform may list an asset, custody it, issue an affiliated token, trade for itself and sell data or access. These combinations can create conflicts over listing, order priority, pricing, disclosure and customer assets.
IOSCO and FSB recommendations focus on governance, conflicts, custody, market abuse and operational risk. Multiple functions do not prove misconduct. They require clear separation, disclosure, controls and supervision.
Cost comparison

For the same intended outcome, record:
- funding fee;
- quoted spread;
- trading or brokerage fee;
- network and Withdrawal fee;
- FX conversion;
- slippage;
- minimums and limits;
- final asset or PHP delivered.
An exchange with a low trading fee can be expensive after funding and Withdrawal. An OTC quote may look wide while already including market impact and settlement service. Compare like with like.
Execution quality

An order-book trader should check bid, ask, depth, fill price, partial fills and fees. A broker customer should compare the quote with a reasonable reference and record its expiry. An OTC customer should document size, asset, price, settlement time, counterparty and failure terms.
“Best price” requires a defined universe, timestamp, size and cost method. Avoid absolute claims without evidence.
Three fictional users
Ana wants PHP 2,000 of a liquid asset and values simplicity. She compares an executable broker quote with an exchange route including all fees.
Ben wants to place a small limit order and can read the book. He may prefer an exchange but still checks custody and Withdrawal.
Cora Trading Ltd. needs a large conversion that would consume visible depth. It considers an OTC quote, subject to corporate authority, KYC, counterparty, legal and settlement review.
The category does not choose the provider. Each user still verifies the legal entity and current authorization.
Philippine context

The BSP’s VASP framework addresses covered virtual-asset activities in the Philippines. Use the current BSP Verifier and regulatory sources for the specific entity and service. Other authorities and laws may apply depending on the product.
A Philippine-regulated status does not establish availability or authorization in Japan or another country. DOPAY must be framed as a Philippine-regulated EMI/VASP, not as locally licensed or soliciting in a foreign jurisdiction without evidence.
A route-mapping exercise

Draw the customer, interface, legal provider, execution venue, counterparty, custodian, blockchain and final PHP rail. Connect them in order.
If one box is unknown, ask before funding. The exercise often reveals that “the exchange” was actually several companies and systems.
Settlement changes the comparison
An exchange fill can occur in seconds while Withdrawal and blockchain settlement take longer. An OTC trade can agree a price now and settle later under delivery-versus-payment, pre-funding or credit terms. A broker may show the asset immediately while an underlying partner completes another step.
Ask when economic price is fixed, when legal ownership changes, when assets become withdrawable and what happens if one side fails. “Executed” and “settled” are separate states.
Test the support chain

Before a material transaction, locate the official support channel and complaint route. Ask which entity handles execution, custody and final delivery. A white-label interface or introducing broker can create several support handoffs.
Good service design tells the customer who owns the case. If every participant redirects responsibility, the route’s low fee may not compensate for weak recourse.
Test only with non-sensitive questions. Support should never require a password, OTP or seed phrase to explain the provider’s role.
